Terms of Service

1. Services

Meridian AI Systems operates as an embedded Chief AI Officer (CAIO) service for businesses. Engagements cover automation strategy, infrastructure development, and ongoing execution. The scope, deliverables, and timeline for each engagement are defined in a separate agreement between Meridian and the client prior to commencement of work.

2. Free First Build

The complimentary first build offered through this website is provided at no cost and with no obligation. It is delivered following a 30-minute audit call and constitutes the first infrastructure build of a potential ongoing CAIO engagement. Meridian reserves the right to assess feasibility and decline requests outside the scope of services offered.

3. Payment

Payment terms are set per engagement and documented in the engagement agreement. For ongoing CAIO retainers, Meridian reserves the right to suspend active work after 14 days written notice of non-payment.

4. Intellectual Property

All systems, infrastructure, and architectures built by Meridian remain the permanent intellectual property of Meridian AI Systems. Clients receive a limited, non-transferable license to use delivered systems for the duration of the engagement. Meridian manages and operates all delivered infrastructure unless otherwise agreed in writing.

Meridian may independently develop concepts, methodologies, or architectures as separate products or services, provided client confidential data is not incorporated or exposed. Meridian may reference the general nature of engagements for marketing purposes unless otherwise agreed in writing. Either right may be modified by mutual written agreement.

5. Confidentiality

All business information, workflows, financial data, and operational details shared with Meridian during an engagement are treated as strictly confidential. This information will not be disclosed to third parties or used to train AI models. This obligation survives termination of the engagement.

6. Engagement Termination

Either party may terminate an engagement per the terms of the engagement agreement. On termination, the client's license to use Meridian-built infrastructure ceases, and client data will be returned or deleted within 30 days per the client's written instruction.

7. Limitation of Liability

Meridian AI Systems shall not be liable for any indirect, incidental, or consequential damages arising from the use of infrastructure we build or strategy we provide. Our total liability for any claim shall not exceed the amount paid for the specific engagement in question.

8. Governing Law

These terms are governed by applicable law. Any disputes will be resolved through good-faith negotiation in the first instance.
